Vendor Terms & Marketplace Agreement

Welcome to Gifts and Goods, a curated marketplace for natural, handmade, and eco-friendly products.
By registering as a vendor (“Maker”, “Seller”, “Vendor”) on Gifts and Goods, you agree to the following terms and conditions.

These terms form a legally binding agreement between you (“Vendor”) and Gifts and Goods (“Marketplace”, “we”, “us”).

1. Marketplace Purpose & Values

Gifts and Goods is a multi-vendor marketplace dedicated to:

  • handmade and artisan goods
  • natural, sustainable, and eco-friendly products
  • ethical production and responsible sourcing

We reserve the right to approve, suspend, or remove vendors or products that do not align with these values.

2. Vendor Eligibility

To sell on Gifts and Goods, you must:

  • Be legally able to enter into a binding agreement
  • Provide accurate and truthful registration information
  • Sell products that are handmade, artisan-made, natural, or responsibly produced
  • Comply with all applicable local, national, and international laws

Reselling mass-produced or drop-shipped items is not permitted, unless explicitly approved in writing by the Marketplace.

3. Vendor Approval

  • All vendor accounts require manual approval by the Marketplace.
  • Approval is based on product type, quality, alignment with our brand, and completeness of information.
  • Approval may be revoked at any time if standards are not maintained.

Approval does not guarantee sales or visibility.

4. Products & Content Standards

Vendors are responsible for ensuring that:

  • All product descriptions are accurate and truthful
  • Images are original or legally owned by the vendor
  • Products meet quality and safety standards
  • No prohibited or illegal items are listed

The Marketplace reserves the right to:

  • remove or hide any product
  • request changes to listings
  • suspend listings without prior notice if needed to protect customers or brand integrity

5. Fair Pricing & Marketplace Integrity

  • Vendors agree to offer pricing on Gifts and Goods that is fair, consistent, and in good faith.
  • Product prices listed on Gifts and Goods may not be intentionally set higher than prices offered by the Vendor for the same product on their own website or other online marketplaces, excluding differences due to shipping costs, taxes, currency, or marketplace-specific fees.
  • This policy exists to maintain customer trust and ensure a fair and transparent marketplace for all makers.
  • The Marketplace reserves the right to review pricing and request adjustments where significant discrepancies are identified.

6. Fees, Commission & Payments

  • Joining Gifts and Goods may require a membership subscription, depending on the selected plan.
  • The Marketplace charges a 12% all-inclusive platform commission on each completed sale.
  • This commission covers platform usage, payment processing coordination, support, and infrastructure.

Payment processing fees (e.g., PayPal) are included in the platform commission unless otherwise stated.

7. Orders, Fulfillment & Shipping

  • Vendors are solely responsible for fulfilling their orders.
  • Vendors must ship products within a reasonable timeframe and provide accurate tracking when applicable.
  • Vendors are responsible for shipping costs, packaging, customs duties, and taxes related to their products.

Failure to fulfill orders may result in account suspension.

8. Customer Communication & Platform Integrity

To protect the marketplace ecosystem:

  • All customer communication must remain within the platform messaging system
  • Vendors may not redirect customers to external websites, social media, or direct payment methods
  • Sharing personal contact details with buyers for off-platform transactions is prohibited

Attempts to bypass the Marketplace may result in immediate suspension or termination.

9. Refunds, Returns & Disputes

  • Vendors are responsible for handling refunds and returns in accordance with their stated policies and local laws.
  • The Marketplace may intervene in disputes to protect customer trust.
  • Repeated unresolved disputes may result in account suspension.

10. Vendor Store Visibility & Promotion

  • Store visibility, featured placement, and promotional opportunities may vary by membership plan.
  • The Marketplace does not guarantee traffic, sales, or exposure.
  • Promotional placement is at the sole discretion of the Marketplace.
  • Vendor Branding, Logos & Off-Platform Promotion
    Vendors may display their brand name and logo as a maker mark within their vendor profile and product listings, subject to Marketplace branding guidelines.
    Permitted use:
    Logos may be displayed in square or circular format only
    Logo size may be limited by the Marketplace
    Logos must appear on a neutral background
    Logos may not contain URLs, QR codes, social media handles, or promotional calls to action
    Not permitted:
    Website URLs, QR codes, or social media handles in logos, product images, descriptions, or packaging inserts
    Messaging such as “shop directly,” “visit our website,” or similar off-platform redirection
    Watermarks, overlays, or branding elements that direct customers outside the Marketplace
    All vendor branding must support a consistent and trusted marketplace experience.
    The Marketplace reserves the right to request changes, remove non-compliant content, or suspend listings until compliance is achieved.

11. Intellectual Property

  • Vendors retain ownership of their original content and designs.
  • By listing products, vendors grant the Marketplace a non-exclusive license to display product content for marketing and platform purposes.

12. Suspension & Termination

The Marketplace reserves the right to:

  • suspend or terminate vendor accounts
  • remove products
  • withhold payouts if fraud, abuse, or policy violations are suspected

Termination may occur with or without prior notice, depending on severity.

13. Limitation of Liability

Gifts and Goods acts as a platform provider only and is not responsible for:

  • vendor-buyer disputes
  • product defects
  • shipping delays
  • tax obligations of vendors

Vendors agree to indemnify and hold the Marketplace harmless from claims arising from their products or conduct.

14. Changes to These Terms

We may update these terms from time to time.
Continued use of the marketplace after changes constitutes acceptance of the updated terms.
